1. Acceptance of Terms

By downloading, installing, or using Plantica, you accept and agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, you may not use our software.

2. License Grant

Subject to your compliance with these Terms, Plantica grants you a limited, non-exclusive, non-transferable, revocable license to use the software for your internal business purposes.

5. User Content and Data

You retain all ownership rights to facility layouts, 3D models, and other content you create using Plantica ("User Content").

By using our sharing features, you grant Plantica a limited license to host and display your shared content for the purpose of providing the service.

5.3 Content Responsibility

You are solely responsible for your User Content and must ensure it does not:

• Violate any intellectual property rights
• Contain malicious code or viruses
• Violate any applicable laws or regulations
• Infringe on third-party rights

6. Third-Party Content and Services

Plantica supports importing 3D models and files from various sources. You are responsible for ensuring you have the right to use any third-party content. We are not responsible for third-party content or services.

7. Intellectual Property

7.1 Plantica IP

The Plantica software, including all code, design, graphics, interface, and documentation, is owned by Plantica and protected by copyright, trademark, and other intellectual property laws.

7.2 Feedback

If you provide feedback, suggestions, or ideas about Plantica, we may use them without any obligation to you.

8. Payment and Refunds

8.1 Pricing

License fees are specified at the time of purchase. We reserve the right to change pricing with notice.

8.2 Payment Terms

• Licenses are billed according to your selected plan (annual, monthly, perpetual)
• All fees are non-refundable except as required by law
• Failure to pay may result in license suspension or termination

8.3 Refund Policy

We offer a 30-day money-back guarantee for new purchases. Contact info@plantica.app to request a refund within 30 days of purchase.

9. Disclaimer of Warranties

PLANTICA IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

We do not guarantee that:

• The software will be error-free or uninterrupted
• Defects will be corrected
• The software will meet your specific requirements
• Results obtained will be accurate or reliable

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PLANTICA SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or use
• Business interruption or loss of business opportunity
• Damages arising from your use or inability to use the software

Our total liability shall not exceed the amount you paid for the license in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Plantica from any claims, damages, losses, or expenses arising from:

• Your use of the software
• Your violation of these Terms
• Your User Content
• Your violation of any third-party rights

12. Professional Use Disclaimer

IMPORTANT: Plantica is a planning and visualization tool designed for pre-sales and proposal purposes. It is NOT a substitute for professional engineering, architectural, or safety analysis. Always consult qualified professionals for:

• Structural engineering and load calculations
• Safety and regulatory compliance
• Final facility design and implementation
• Building codes and permit requirements

13. Export Controls

The software may be subject to export control laws. You agree to comply with all applicable laws and regulations regarding the export, re-export, and transfer of the software.

14. Termination

14.1 Termination by You

You may terminate your license at any time by ceasing to use Plantica and uninstalling the software.

14.2 Termination by Us

We may suspend or terminate your license if you:

• Violate these Terms of Service
• Fail to pay applicable fees
• Engage in fraudulent or illegal activity
• Abuse or misuse the software

14.3 Effect of Termination

Upon termination:

• Your license to use Plantica immediately ends
• You must cease all use and uninstall the software
• Your User Content stored locally remains yours
• Shared scenes may be deleted after a grace period

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes through the application or via email. Continued use after changes constitutes acceptance of the new Terms.

16. Governing Law and Disputes

16.1 Governing Law

These Terms are governed by the laws of the jurisdiction where Plantica is registered, without regard to conflict of law provisions.

16.2 Dispute Resolution

In the event of a dispute, the parties agree to first attempt resolution through good faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions will remain in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Plantica regarding the use of the software.
